These Terms & Conditions are the agreement between you and Biponix for using the Biponix platform. They explain how the free trial, plans and billing work, what you and we are each responsible for, and what happens if something goes wrong. Please read them carefully.
Acceptance of Terms
The Service is provided by Biponix Limited (incorporation no. C-212900/2026, trade licence TRAD/DNCC/010912/2026), whose registered office is at House 87, T.I.C Colony Road, Faidabad, Daksinkhan, Dhaka 1230. In these terms, "Biponix", "we", "us" and "our" refer to Biponix Limited, and "you" refers to the person or business using the Service.
By creating an account, starting a free trial or using the Service, you agree to these terms and to our Privacy Policy. If you use Biponix for a business, you agree to these terms on behalf of that business. If you do not agree, do not use the Service.
Definitions
- "Service" means the Biponix website, dashboard, hosted stores, integrations, and any related support.
- "Merchant" means a business, or a person acting for a business, that holds a Biponix account.
- "Store" means an online store a Merchant runs on Biponix, whether on a domain the Merchant owns or on an address we provide.
- "Buyer" means a person who visits or places an order on a Store.
- "Plan" means the subscription tier a Merchant chooses (such as Solo, Growth, Scale or Enterprise), with the features and limits described on our pricing page.
- "Merchant Content" means products, images, text, orders, customer records and any other material a Merchant adds to or collects through the Service.
Eligibility & Accounts
- You must be at least 18 years old and able to enter into a binding contract under the laws of Bangladesh.
- If you sign up for a business, you confirm that you have authority to accept these terms on its behalf.
- You must give accurate account and business information, and keep it up to date.
- You are responsible for keeping your login details secure and for everything that happens under your account, including the actions of team members you invite. Tell us straight away if you believe your account has been accessed without permission.
Free Trial
New Merchants can try Biponix free for 7 days. No payment card or wallet is needed to start the trial.
If you have not chosen a paid Plan by the end of the trial, your Store is paused: it stops being visible to Buyers, and your dashboard becomes read-only. You can resume at any time by choosing a Plan. If you do not, your account and Store data are deleted 90 days after the trial ends. You can export your data at any time during those 90 days.
Plans, Billing & Renewal
- Plans are billed monthly or yearly, in advance. Yearly billing costs the same as ten monthly payments.
- Prices shown on our website and in your dashboard are in Bangladeshi Taka and include VAT.
- Subscriptions renew automatically at the end of each billing period for the same length of time, unless you cancel before the renewal date.
- Biponix does not charge a fee per order. Charges from couriers, payment gateways (such as bKash, Nagad or SSLCommerz), domain registrars and advertising platforms are set by those providers and are between you and them.
- Enterprise Plans are priced and billed under a separate written agreement.
Plan Limits
Each Plan includes limits, such as orders per month, products and user accounts, as shown on our pricing page. We handle the monthly order limit as follows:
- If your Store goes over its monthly order limit, every order that month is still accepted. Buyers are never turned away in the month you first go over.
- During the following month, we will ask you to upgrade to a Plan that fits your volume.
- If your Store reaches its limit again in that following month and you have not upgraded, checkout is paused. Buyers cannot place new orders until the first day of the next calendar month, or until you upgrade, whichever comes first.
- Your Store stays visible while checkout is paused, and existing orders, courier bookings and your dashboard continue to work.
Cancellation & Refunds
You can cancel your subscription at any time from your dashboard or by contacting us. Cancelling stops the next renewal, and your Plan stays active until the end of the period you have already paid for.
Payments are non-refundable, including unused time on monthly or yearly Plans. We will refund a payment only if you were charged twice for the same period, or if you were charged because of an error on our side.
After your paid period ends, your Store is paused and your data is deleted 90 days later, as described in our Privacy Policy. You can export your data before then.
Late or Failed Payment
If a renewal payment fails or is not made, we will remind you and give you 3 days to pay, during which your Store stays live. If payment is still outstanding after 3 days, your Store is paused and your dashboard becomes read-only until you pay.
If the account remains unpaid for 90 days after it is paused, we delete the account and its Store data. You can export your data at any time before deletion.
Price & Plan Changes
We may change our prices, Plans or Plan limits. We will give you at least 30 days' notice by email or in your dashboard. A new price applies from your first renewal after the notice period ends, so yearly subscribers keep their current price until their next yearly renewal. If you do not agree with a change, you can cancel before it takes effect.
If a change in VAT or another government tax or levy affects our prices, the new amount may apply from the date the change takes effect.
Merchant Responsibilities
As a Merchant, you are responsible for your Store and your business. In particular, you must:
- Describe products and prices accurately, and deliver what you sell.
- Publish and honour your own delivery, return, exchange and refund policies.
- Handle Buyer questions, complaints and disputes.
- Comply with all laws that apply to your business, including Bangladesh consumer-protection and digital-commerce rules, tax obligations, and any licences your products require.
- Tell Buyers how you use their personal information, for example through a privacy policy on your Store, and use Buyer information only lawfully and for your business.
- Keep your own copies of important records by exporting data from time to time.
Acceptable Use & Prohibited Products
You must not use the Service to sell, promote or do any of the following:
- Illegal drugs, narcotics, or prescription medicines without the licences required by law.
- Weapons, ammunition, explosives, or their parts.
- Counterfeit, pirated, stolen or smuggled goods, or anything that infringes someone else's trademark, copyright or other rights.
- Gambling, betting, lotteries, or pyramid, Ponzi or multi-level marketing schemes.
- Pornographic or sexually explicit material.
- Protected wildlife or wildlife products, and human remains or organs.
- Goods or services that are otherwise illegal in Bangladesh, or content that promotes violence, hatred or discrimination.
- Fake orders, fake reviews, or misleading prices, discounts or claims.
- Spam, phishing, malware, or attempts to break, overload, scrape or gain unauthorised access to the Service or other users' accounts.
- Reselling or sublicensing the Service without our written permission.
Orders, Couriers & Cash on Delivery
Biponix provides the tools a Merchant uses to sell. Biponix is not the seller and is not a party to any sale between a Merchant and a Buyer. Product quality, delivery, returns, warranties and refunds to Buyers are the Merchant's responsibility.
When you book a parcel through Biponix, we pass the booking to the courier you choose and show you the status the courier reports. The delivery itself, including lost, damaged or delayed parcels, delivery charges, and the collection and settlement of cash on delivery amounts, is between you and the courier under the courier's own terms.
Fraud & Delivery-Risk Checks
The delivery-risk check shows a Buyer's past delivered and returned parcels and a risk label to help you decide whether to confirm or ship an order. It is advisory only. The information comes from couriers and from order outcomes on Biponix, and it may be incomplete, out of date or wrong.
We do not guarantee that the check will catch fake orders or prevent returns, and the decision to accept, confirm or ship an order is always yours. You must not use delivery-risk information to harass Buyers or for any purpose other than deciding how to handle an order. How we handle this information is described in our Privacy Policy.
Third-Party Integrations
The Service connects with third-party services such as couriers (Steadfast, Pathao, RedX), payment providers (bKash, Nagad, SSLCommerz), Meta and Google. When you use an integration, the provider's own terms also apply, and you are responsible for keeping your accounts, API keys and access tokens with those providers valid and in good standing.
We do not control third-party services and are not responsible for their availability, changes, fees or decisions, including a provider suspending your account. We do not guarantee advertising results, the number of events matched by Meta Pixel or Conversions API, or the status of your Meta or Google accounts.
Your Content & Data
You own your Merchant Content. You give Biponix a non-exclusive, worldwide, royalty-free licence to host, store, copy, display and transmit your Merchant Content only as needed to provide, secure and improve the Service. This licence ends when your content is deleted from the Service, except for copies kept in backups for a limited time or as required by law.
You confirm that you have the rights to the Merchant Content you add, and that it does not break these terms or the law. You can export your data at any time. Our handling of personal information, including Buyer information we process for you, is described in our Privacy Policy.
Domains
If you connect your own domain, you remain its owner and are responsible for registering, renewing and configuring it with your registrar. If we give your Store an address on a Biponix domain, such as a subdomain, that address belongs to Biponix. We may reassign it after your account is deleted, or change it if it infringes someone else's rights or misleads Buyers.
Intellectual Property & Feedback
The Service, including its software, themes, designs, text, logos and the Biponix name, belongs to Biponix or its licensors. While your subscription is active, we give you a limited, non-exclusive, non-transferable right to use the Service and to use our themes on your Store. You must not copy, modify, reverse engineer or resell any part of the Service except as these terms allow.
If you send us ideas or suggestions, we may use them to improve Biponix without owing you anything.
Service Availability & Support
We work to keep Biponix fast and available, but we do not guarantee that the Service will be uninterrupted or error-free, and we do not offer uptime guarantees or service credits. Where practical, we will announce planned maintenance in advance and schedule it for times when Stores are less busy. Uptime commitments for Enterprise Plans are available only under a separate written agreement.
Support is available by phone and WhatsApp during our support hours (10am–8pm) and by email, at the level included in your Plan. We may add, change or remove features over time. If we remove a feature that is central to your Plan, we will tell you in advance.
Suspension & Termination
You can stop using Biponix and close your account at any time, as described in "Cancellation & Refunds".
We may suspend or close your account, or remove content, immediately if you break these terms (including "Acceptable Use & Prohibited Products"), fail to pay, put the Service, Buyers or other Merchants at risk, or if the law or a government authority requires it. Where appropriate, we will tell you why and give you a chance to fix the problem.
We may also stop providing the Service to you, or discontinue the Service entirely, for any other reason by giving you at least 30 days' notice. In that case, we will refund any prepaid fees for the unused part of your billing period and keep data export available until the account closes.
When your account closes, your right to use the Service ends, and your data is deleted as described in our Privacy Policy. Sections that by their nature should continue, such as payment obligations, disclaimers, limitation of liability, indemnification and governing law, remain in effect.
Disclaimers
To the fullest extent the law allows, the Service is provided "as is" and "as available". We make no promises beyond those expressly stated in these terms, including any implied promise that the Service will be fit for a particular purpose, meet your business goals, or be free of errors. Nothing in these terms limits rights that cannot be limited under the laws of Bangladesh.
Limitation of Liability
To the fullest extent the law allows, Biponix is not liable for indirect, incidental, special or consequential losses, or for lost profits, revenue, sales, goodwill or data, even if we were told such losses were possible.
Our total liability for all claims relating to the Service is limited to the amount you paid Biponix in the 12 months before the event that gave rise to the claim. These limits do not apply where the law does not allow liability to be limited, such as for fraud.
Indemnification
You agree to compensate Biponix, and its directors and employees, for claims, losses and reasonable costs (including legal fees) brought by third parties that arise from your Store, your products, your Merchant Content, your dealings with Buyers, or your breach of these terms or the law.
Governing Law & Disputes
These terms are governed by the laws of Bangladesh. If you have a dispute with us, please contact us first at contact@biponix.com. Both sides will try in good faith to settle it informally within 30 days.
If the dispute is not settled within 30 days, either side may take it to the courts in Dhaka, Bangladesh, which will have exclusive jurisdiction.
Changes to These Terms
We may update these terms from time to time. The "Last updated" date at the top shows when they last changed. If we make a significant change, we will tell Merchants by email or through a dashboard notice at least 30 days before it takes effect. If you keep using the Service after a change takes effect, you accept the updated terms. If you do not agree, you can cancel before then.
General
- Entire agreement — these terms, our Privacy Policy and any written agreement for an Enterprise Plan are the whole agreement between you and Biponix about the Service.
- Severability — if any part of these terms is found unenforceable, the rest stays in effect.
- No waiver — if we do not enforce a right straight away, we have not given it up.
- Assignment — you may not transfer your account or these terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets.
- Events beyond our control — we are not responsible for delays or failures caused by events beyond our reasonable control, such as natural disasters, strikes or hartals, internet or power outages, government restrictions, or disruptions at couriers, payment providers or hosting providers.
- Language — if these terms are translated, the English version prevails.
